Terms of use
These terms cover getupperhand.io and the software Upperhand LLC builds and runs: the tools we use to do client work, and the integrations that connect those tools to services like QuickBooks Online. They're the end user license agreement for that software. If you're reading this because a service asked where our terms live, this is the page.
Who this applies to
Visitors to this site, clients we work with, and the two of us who run the studio. Our integrations are built for Upperhand's own operations. We don't distribute them, sell them, or offer them to the public as products. If that ever changes, these terms will change first.
Using the site
You can read everything here and use the contact form. Don't scrape the site, attack it, or pretend to be us. The words, design, and video on this site belong to Upperhand LLC or to the clients whose work we show, and you'll need permission to reuse them.
Our software and integrations
Where we connect our tools to a third-party service, we use that service under its own terms and within the access it grants. For QuickBooks Online, that means Intuit's developer terms and the permissions Upperhand LLC approved when the connection was made. The connection reads and writes Upperhand's own accounting data. It does not touch anyone else's books.
We keep credentials for these connections on machines we control, encrypted in transit, limited to the two of us. Access can be revoked by us or by the service at any time, and revoking it stops the integration.
Client work
Work we do for clients is governed by the agreement for that project, not by this page. If anything here conflicts with a signed agreement, the agreement wins.
Your information
What we collect and what we do with it is on our privacy page. That page is part of these terms.
No warranty
The site and our software are provided as they are. We work hard to keep them accurate and running, and we don't promise they'll be error-free or available every minute. To the extent the law allows, we disclaim implied warranties, including merchantability and fitness for a particular purpose.
Limits on liability
To the extent the law allows, Upperhand LLC isn't liable for indirect, incidental, or consequential damages arising from your use of the site or our software. Where liability can't be excluded, it's limited to the amount you paid us for the thing that caused the problem, or one hundred dollars if you paid nothing.
Ending things
We can stop offering the site or any integration at any time. You can stop using them at any time. Sections about ownership, warranty, and liability keep applying after that.
Governing law
Illinois law applies, without regard to its conflict of law rules. Disputes go to the state or federal courts in Cook County, Illinois, and both sides agree to that venue.
Changes
If we change these terms, we'll update this page and the date at the top. Material changes will be called out plainly rather than buried.
